The salesperson's relationship to the responsible broker

The responsible broker relationship

In California, a salesperson performs licensed activities under a responsible broker. The relationship joins supervision, a written agreement, and a controlled compensation path. A salesperson's personal clients or business name do not remove the broker's responsibilities.

Put the working relationship in writing

Under 10 CCR § 2726, the broker and each salesperson must have a dated, signed written agreement covering material aspects of their relationship, including supervision of licensed activities, duties, and compensation. This also applies to a broker working under a broker-salesperson arrangement. Do not confuse this internal agreement with a client's representation agreement.

Supervision is an ongoing system

Under 10 CCR § 2725, reasonable supervision includes appropriate systems for licensed transactions, significant documents and their storage, trust funds, advertising, discrimination-law training, and regular reports of licensed activities. The broker must monitor compliance. The size of the staff and the number and location of branches influence the system. Other licensees may help administer it, but the responsible broker retains overall responsibility. Under Bus. & Prof. Code § 10164, appointing a branch manager requires a written contract accepting the delegation and notice to the DRE; delegation does not eliminate the responsible broker's responsibilities.

A responsible broker sits above a salesperson. A downward arrow represents supervision and compensation from the broker. An upward arrow represents the salesperson's activity reports. A dated, signed agreement covers supervision, duties, and compensation. Supervisory assistance from others does not remove the responsible broker's overall responsibility.
California connects supervision, a written agreement, and compensation through the responsible broker.

Follow the compensation path

Under California Bus. & Prof. Code § 10137, a salesperson may accept compensation for licensed activity only from the broker under whom the salesperson is then licensed. A client cannot pay the salesperson a direct transaction bonus. A salesperson may agree to share compensation with another licensee, but payment must go through the responsible broker. A broker may not compensate an unlicensed person for licensed acts. Calling a payment a gift does not change what it pays for.

Record changes and preserve supervision

California's 10 CCR § 2752 requires the responsible broker to notify the Commissioner within five days of retaining a salesperson or a broker acting as a salesperson. The notification is signed by both. Bus. & Prof. Code § 10161.8 also requires the responsible broker to report termination of an affiliation. A salesperson-owned fictitious business name remains subject to the responsible broker's control and supervision under § 10159.5.

For an exam scenario, ask who supervises the work, what agreement documents the relationship, and who pays the salesperson. Compensation routing is separate from which client the brokerage represents.
